Business Valuations - [go to top]

What is my business worth?

What are the "value drivers" that make one business more valuable than another?

What steps can I take to build shareholder value?

We work closely with you to answer these and other questions. Sometimes business owners are intrigued by the thought of knowing the "value" of their business. Other times, the need results from a transaction. We help identify the reasons for an appraisal and the scope of the assignment. Business valuation services involve consulting or the appraisal of a closely held business. When owners need to know the value of their businesses, they typically have to solicit the assistance of a qualified business appraiser. Common transactions creating the need for a professional business valuation are employee stock options, gift and estate planning, mergers and acquisitions, sale of a minority interest, S Corporation elections, employee stock ownership plans, succession planning and civil litigation. We provide professional business appraisal services adhering to the rigorous standards of the National Association of Certified Valuation Analysts. We also provide consulting services that assist companies in maximizing the value of their business.

Debt & Financing - [go to top]

Your options for financing in today's global marketplace have never been more varied or complex. Increasing amounts of foreign money are available. Major U.S. and foreign companies are seeking strategic partnerships with midsize companies; merger and acquisition opportunities abound. We offer a broad scope of services to help you arrange financing tailored to your specific needs. We can help you determine how much capital you need, how it should be raised, how it will be used, and how much it will cost. We can introduce you to local lenders and other investors. We can help structure and negotiate flexible, cost-effective financing for working capital, research and development, machinery and equipment, inventory and receivables, and real estate. In addition, we can assist you with SBA loan applications and can act as your intermediary through the entire process. We have developed relationships with preferred SBA lenders that can help with pre-qualification criteria, selection of the appropriate funding program, and speed up the entire process.

Financing your business is becoming more complicated all the time. We've made it easier for many companies, and we can do the same for yours.

Financial Reporting - [go to top]

Review
An unaudited review report provides limited assurance that material changes to the financial statements are not necessary in order for them to be presented in conformity with GAAP. A review may be adequate for entities that must report their financial positions to third parties, such as regulatory agencies or banks and their loan limits are generally less than $5 million.

Here's what a review entails:
In a review, a CPA will inquire about accounting principles and practices, accounting policies, actions of the board of directors, and changes in business activities. Then the CPA will make other inquires and apply analytical procedures to identify unusual items or trends in the financial statements that may need explanation. Essentially, a review is designed to see whether the financial statements "make sense" without applying audit-type tests. A review is substantially less in scope than an audit, and provides only limited assurance that the financial statements are free of material misstatement.

Compilation
A compilation is useful to small, privately-held companies whose in-house capabilities are limited and who need help preparing their financial statements. A compilation report offers no assurance as to whether material or significant changes are necessary for the statements to be in conformity with GAAP.

Here's what a compilation entails:
In a compilation, the CPA compiles (or prepares) the financial statements based on information provided by the company. After compiling the statements, the CPA must read them and consider whether they are appropriate in form and free from obvious material errors. Compiled financial statements may be presented with or without footnotes. A compilation provides no assurance that the financial statements are free of material misstatement.
